Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SubSonar ("we," "our," or "us") governing your access to and use of the SubSonar website at subsonar.ai and our Reddit lead discovery service (collectively, the "Service").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years old to use SubSonar. By using the Service, you represent and warrant that you are at least 18 years of age.

Description of Service

SubSonar is a lead discovery platform that:

• Scans publicly available Reddit posts to identify potential leads
• Uses AI to analyze posts for buying intent signals
• Generates personalized outreach message suggestions
• Provides a CRM to track and manage discovered leads
• Facilitates (but does not automate) outreach via Reddit's native messaging

SubSonar is a discovery and intelligence tool. You are responsible for manually reviewing, editing, and sending all messages. We do not send messages on your behalf.

Account Registration

To use SubSonar, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activity under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

Acceptable Use Policy

You agree to use SubSonar in compliance with all applicable laws and Reddit's terms of service. Specifically, you agree to:

• Personalize messages before sending — add your own touch
• Only reach out to users who may genuinely benefit from your product
• Respect users who don't respond or ask not to be contacted
• Follow Reddit's content policy and messaging guidelines
• Use the Service for legitimate business outreach
• Maintain reasonable outreach volumes (we enforce limits to help)

✗ DO NOT:

• Send spam or bulk identical messages
• Use automated tools to send messages (you must send manually)
• Harass, threaten, or abuse Reddit users
• Impersonate others or misrepresent your identity
• Promote illegal products, services, or activities
• Scrape or export data for use outside SubSonar
• Attempt to circumvent our rate limits or usage restrictions
• Share your account credentials with others
• Use the Service to violate Reddit's terms of service

Usage Limits

To ensure fair use and help you stay compliant with Reddit's guidelines, SubSonar enforces usage limits:

• Daily search limit: 10 searches per day (Pro)
• Monthly search limit: 300 searches per month (Pro)
• Similar search cooldown: 30 minutes between identical searches

These limits are designed to encourage quality outreach over quantity and to protect your Reddit account from being flagged for spam. Limits may be adjusted based on your subscription plan.

Payment Terms

SubSonar offers both free and paid subscription plans. For paid plans:

• Payments are processed securely through Stripe
• Subscriptions renew automatically unless cancelled
• You may cancel your subscription at any time
• Cancellation takes effect at the end of the current billing period
• We do not provide refunds for partial billing periods
• Prices may change with 30 days notice

If payment fails, we may suspend access to paid features until payment is resolved. Your data will be retained for 30 days, after which it may be deleted.

Intellectual Property

Our Property

The SubSonar Service, including its design, features, code, and content (excluding user-generated content), is owned by SubSonar and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

Your Content

You retain ownership of content you create using SubSonar, including your search parameters, notes, and customized messages. By using the Service, you grant us a limited license to store and process your content as necessary to provide the Service.

Reddit Content

Reddit posts and user information displayed in SubSonar are owned by their respective authors and Reddit. We display this publicly available content to help you identify leads but make no claim of ownership over it.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy or reliability of lead information
• Uninterrupted or error-free operation
• Results or outcomes from using the Service

Important Disclaimers:

• No Guaranteed Results: We do not guarantee that you will find leads, make sales, or achieve any specific outcome.
• Third-Party Platforms: We are not affiliated with Reddit. Your use of Reddit is subject to Reddit's terms of service, and we are not responsible for actions Reddit takes on your account.
• AI-Generated Content: Messages generated by our AI are suggestions only. You are responsible for reviewing and approving all content before sending.
• Lead Accuracy: We analyze public posts to estimate buying intent, but we cannot guarantee the accuracy of our assessments.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBSONAR SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Actions taken by Reddit against your account
• Responses (or lack thereof) from leads you contact
• Any damages resulting from unauthorized access to your account

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Indemnification

You agree to indemnify, defend, and hold harmless SubSonar and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including Reddit's terms of service; or (d) any content you submit or send through the Service.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Abusive or fraudulent behavior
• Non-payment (for paid accounts)
• Request from law enforcement
• Extended period of inactivity

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately, and we may delete your data after 30 days.

Modifications to Service & Terms

We reserve the right to:

• Modify or discontinue any part of the Service at any time
• Update these Terms with reasonable notice
• Change pricing with 30 days notice

Continued use of the Service after changes constitutes acceptance of the updated Terms. If you disagree with changes, you must stop using the Service.

Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits against us.

Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and SubSonar regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Failure to enforce any right does not waive that right.
• Assignment: You may not assign these Terms. We may assign them in connection with a merger or acquisition.
